Public Training Courses – General Terms & Conditions

These terms and conditions form an integral part of the Contract on Training concluded between GIZ and the Participant. Together with the Contract on Training, they shall supersede all prior discussions, correspondence and representations. Brochures and other advertisements are for information purposes only and do not constitute a part of the Contract on Training. The training description provided directly with the registration form upon registration for each individual course supersedes all other announcements and becomes part of the contract.

These General Terms and Conditions are subject to change by GIZ without notice. Changes will apply to any Contract on Training concluded after the date of the change.

Any terms and conditions proposed by the Participant shall not be deemed agreed between the parties and shall not modify or supersede these General Terms and Conditions.

Registration

The Participant shall register to a Training Course by filling in the Registration Form that is provided manually by GIZ, or that is available online for each individual training at http://training.thai-german-cooperation.info/ The manual form needs to be sent to GIZ via email. The online form will be automatically forwarded to GIZ. Any such registration received by GIZ shall be binding upon the Participant.

Course Fee

The Course Fee as indicated in the manual or online registration form includes attendance of the Training Course and all Training Course handouts.

The Course Fee does not include accommodation, meals, travel or any other expenses that may be incurred by the Participant (unless explicitly set out in the Training Course description). The Course Fee does not include any other facility or equipment that needs to be provided by the Participant in the Training Course description (e.g. “Participants are required to provide a laptop for the lab elements of the Training Course”).

Payment Terms

The Course Fee is due for payment 21 days of the invoice date but, at the latest, 14 days prior to the scheduled first day of Training. If the Participant registers less than 14 days prior to the scheduled first day of Training, the Course Fee shall be due promptly upon registration.

Prices quoted do not include VAT or other applicable taxes which will be added at the current rate and shall be borne by the Participant. Regardless of the Participant’s country of origin, the location of the Training Course shall be considered the place of performance for tax purposes.

Qualification of Participant

Any individual must be 20 years or older to register for a training.

The Participant should meet the qualification and other requirements as set out in the Training Course description in order to achieve the best training results. GIZ is not responsible for insufficient training results resulting from neglecting the requirements, but reserves the right to deny registration to Participants that do not meet the requirements.

Substitution

A qualified substitute may be enrolled in a Participant’s place with the prior written consent of GIZ which consent will not be unreasonably withheld if the Substitute meets the qualification and other requirements as set out above (“Qualification of Participant”).

However, two or more Participants may not share a seat of a Training Course. In the event of substitution, the Participant remains liable towards GIZ for payment of the Course Fee.

Cancellation and Non-Attendance by the Participant

The Participant may cancel participation in the Training Course at any time by written notice to GIZ. In case a qualified substitute can be enrolled prior to the first day of training in accordance with “Substitution” above, no cancellation fee will be charged.

In case of cancellation or non-attendance without cancellation, or if a qualified substitute cannot be enrolled, GIZ is entitled to charge the Participant with the following Cancellation Fees:

GIZ is entitled to offset the Cancellation Fee against any Course Fee already paid by the Participant.

The Participant is liable for any other costs incurred in connection with the cancellation or non-attendance, e.g. in connection with travel or accommodation.

Cancellation, Relocation and other Alterations by GIZ

If GIZ has to significantly alter the location of a Training Course (change of city or country), or has to replace the trainer by a similarly qualified trainer, GIZ will notify the Participant in due course. If the Participant is unable to attend the Training Course at the significantly altered location or does not agree to the proposed new trainer, GIZ will refund 100% of the Training Course Fee.

If GIZ needs to make minor changes such as relocate the training location within the same city or adjust the training schedule, the Participant will not be entitled to refund for such reason.

GIZ reserves the right to cancel any Training Course due to insufficient enrollment up to 30 calendar days in advance of the scheduled first day of Training. Notice by GIZ will be provided with the option to reschedule for a future course date or to receive a full refund of the Training Course Fee.

GIZ is entitled to exclude the Participant of the attendance of any Training Course session or to cancel this contract with immediate effect in the event of continued non-attendance, continued disturbance of a Training sequence or non-authorized copying of Training material by the Participant or if the Participant is in breach of any other material provision of this contract. In such event, the Participant shall not be entitled to a refund of the Course Fee (whether in full or in part).

In no event shall GIZ be liable for travel costs or other costs incurred by the Participant or any other consequential damage caused by the relocation, cancellation or other modification of the Training Course by GIZ in accordance with the provisions above, unless such damage is due to the willful misconduct or gross negligence of GIZ.

Programme Participation/ Late Arrivals/ Missed Sessions

The Participant must demonstrate a full commitment to regular attendance during the Training Course. Should the Participant be unable to attend the Training Course, he/she is required to immediately contact the programme management (Tel.: +66 2 661 9273). Participants who are absent for more than three working days must present a doctor’s certificate on the third day at the latest.

To conform with GIZ requirements for statutory certificates, attendance at all sessions is mandatory. In case of missed sessions, it is upon the discretion of the trainer to decide if the certificate can be awarded.

Warranty and Liability

The Participant accepts that it is his/ her responsibility to verify that the Training Course is suitable for the requirements of the Participant and that the Participant meets the qualifications as required according to the Training Course description.  

GIZ shall not be responsible for the further use of, or the inability to use, any material supplied or knowledge gained from participation in the Training Course.

The Participant accepts to attend the Training Course at his/her sole risk. GIZ shall not be liable for damages caused by negligent act or omission in connection with or on occasion of the performance of the Training Course unless such act or omission is in violation of a material right or obligation under this contract.  GIZ´s liability for negligent violation of material rights or obligations shall be limited to the amount of the Course Fee. The above limitations shall not apply in cases of personal injury or death or in any case where unlimited liability is mandatory under the applicable law.

In no event, however, shall GIZ be liable for any indirect, special or consequential loss (including loss of anticipated profit or data), howsoever arising, even if it has been advised of such potential loss.

Force Majeure

In no event shall GIZ be liable for any failure or delay or for the consequences of any failure or delay in performance of this contract if it is due to any event beyond the reasonable control of the parties including, without limitation, acts of God, war, industrial disputes, protests, fire, flood, storm, tempest, explosion, an act of terrorism and national emergencies.

Insurance

The Participant accepts that it is his/her responsibility to maintain insurance against accident and illness during the term of the Training Course.

Visa

The Participant accepts that it is his/ her responsibility to apply for all visas necessary for attendance of the Training Course.

Intellectual Property

The Training Course content and materials are the property of GIZ. Copying or redistribution of the Training Course materials is prohibited without the prior written consent of GIZ.

Data Protection

The Participant agrees to have his/her individual data stored, evaluated and forwarded to third parties to the extent necessary for the organization and administration of the Training Course. In particular, without limitation, GIZ is entitled to include the Participant on the mailing list used to contact the participants of the Training Course for information on other activities and events. The Participant can unsubscribe from the mailing list at any time.

Assignment

The Participant shall not transfer any rights or obligations under this contract to third parties without the prior written consent of GIZ.

Amendment and Waiver

This contract may not be amended except by written agreement signed by both parties. No waiver of any terms of this contract shall be valid unless in writing and signed by the party waiving its rights.

Notices

All notices requests, demands, waivers and other communications under this contract shall be in writing and shall be deemed to have been duly given if delivered personally or by facsimile transmission or electronic mail or mailed (certified or registered mail, postage prepaid),

Severability

If any provision herein is held to be invalid, illegal or unenforceable, the validity and enforceability of the remaining provisions shall not in any way be affected or impaired.  

Applicable Law and Jurisdiction

This contract shall be governed by and construed in accordance with the laws of Thailand. Place  or proceedings shall be Bangkok, Thailand.
